Definitions & Interpretations

1.1 Definitions

"Service"

The Safiri by Citrus SaaS platform provided to Platform Administrator account users for managing and overseeing the entire school transport system.

"User"

Any individual or entity that registers for and uses the Platform Administrator account on the Service.

"Platform"

The complete Safiri by Citrus system, including its web and mobile interfaces.

"Subscription"

Any fee-based plan or service level offered under these Terms (if applicable).

"Content"

All materials, data, and information, including text, graphics, and software, made available through the Service.

1.2 Interpretations

Headings and subheadings are for convenience only and do not affect the interpretation of these Terms. Any reference to a "clause" is to a clause of these Terms and Conditions.

License Grant & Scope of Use

2.1 License Grant

Upon acceptance of these Terms, Citrus Labs Limited grants the User a non-exclusive, non-transferable, revocable license to access and use the Service solely for managing and overseeing school transport operations as a Platform Administrator.

2.2 Scope of Use

The User may use the Service to:

  • Manage school registrations and user accounts (including school, parent, and driver profiles).
  • Configure routes, schedules, and fee structures.
  • Monitor real-time transport activities and system performance.
  • Configure revenue, payment settings, and enforce security protocols.

The User shall not:

  • Modify, reverse engineer, or redistribute any part of the Service.
  • Use the Service for any purpose other than its intended function without prior written consent from Citrus Labs Limited.

User Eligibility & Account Registration

3.1 Eligibility

Only authorized personnel of a school or designated transport management entity, with the legal capacity to enter into binding contracts under Kenyan law, may register for a Platform Administrator account.

3.2 Account Registration

  • The User must provide accurate, complete, and up-to-date information during registration.
  • The User is responsible for safeguarding their login credentials and must notify Citrus Labs Limited immediately if unauthorized access is suspected.
  • Any misrepresentation or inaccurate information may result in immediate suspension or termination of the account.

Subscription, Payment & Billing Terms

4.1 Subscription Terms

  • The Service is offered on a subscription basis as per the pricing and billing details communicated separately to the User.
  • Subscription plans, billing cycles, and renewal policies will be outlined in the subscription agreement.

4.2 Payment & Billing

  • All payments are due in accordance with the agreed billing cycle.
  • In the event of non-payment or late payment, Citrus Labs Limited reserves the right to suspend or terminate the User's access to the Service.
  • Refund conditions, if applicable, shall be provided in the subscription details.

Prohibited Conduct & User Obligations

5.1 Prohibited Conduct

The User agrees not to engage in any activities that:

  • Infringe upon the intellectual property rights of Citrus Labs Limited or any third party.
  • Involve unauthorized access, data scraping, or any other form of misuse of the Service.
  • Compromise the security or performance of the Service in any manner.

5.2 User Obligations

  • The User must ensure the security of their account and notify Citrus Labs Limited immediately of any suspected breaches.
  • The User is responsible for ensuring that all actions taken under their account are in compliance with these Terms and all applicable laws and regulations.

Intellectual Property Rights

6.1 Ownership

All intellectual property rights in the Service, including software, design, logos, and proprietary materials, are the exclusive property of Citrus Labs Limited or its licensors.

6.2 User-Generated Content

Content uploaded or generated by the User remains the property of the User, subject to a worldwide, non-exclusive, royalty-free license granted to Citrus Labs Limited to use, reproduce, and display such content for the purpose of operating and improving the Service.

Data Protection & Privacy

7.1 Data Collection and Use

User data is collected, used, stored, and shared in accordance with our Privacy Policy, which is hereby incorporated by reference.

7.2 Compliance

Citrus Labs Limited commits to processing personal data in compliance with Kenyan data protection regulations. The User consents to such processing as necessary for the provision of the Service.

Disclaimers & Limitation of Liability

8.1 Disclaimer

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including, without limitation, warranties of merchantability, fitness for a particular purpose, or non-infringement.

8.2 Limitation of Liability

To the fullest extent permitted by law, Citrus Labs Limited shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use or inability to use the Service. The total liability of Citrus Labs Limited in connection with these Terms shall not exceed the fees paid by the User in the preceding twelve (12) months.

Indemnification

The User agrees to indemnify, defend, and hold harmless Citrus Labs Limited, its officers, directors, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • The User's use of the Service,
  • Any breach of these Terms by the User,
  • Any violation of applicable laws or regulations by the User.

Term & Termination

10.1 Term

This Agreement commences on the Effective Date and continues until terminated by either party in accordance with these Terms.

10.2 Termination

  • Either party may terminate this Agreement by providing thirty (30) days' written notice.
  • Citrus Labs Limited reserves the right to terminate or suspend the User's access immediately in the event of any breach of these Terms.
  • Upon termination, the User's access to the Service will be revoked, and any outstanding obligations will become immediately due. Data may be deleted or archived in accordance with our data retention policies.

Governing Law & Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Kenya.

11.2 Dispute Resolution

Any disputes arising from these Terms or the use of the Service shall be resolved through negotiation. If unresolved, the dispute shall be submitted to mediation or arbitration before seeking judicial resolution. The parties agree that the courts of Nairobi, Kenya, shall have exclusive jurisdiction over any legal proceedings.

Amendments

Citrus Labs Limited reserves the right to modify these Terms at any time. Material changes will be communicated to the User via email or by posting a notice on the Platform. Continued use of the Service after such modifications constitutes acceptance of the updated Terms.

Third-Party Services & Links

The Service may include links or integrations with third-party services. Citrus Labs Limited is not responsible for the content, privacy practices, or terms of use of any third-party service. Use of third-party services is subject to the terms provided by the respective third parties.

Force Majeure & Severability

14.1 Force Majeure

Citrus Labs Limited shall not be liable for any failure to perform its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, or other force majeure events.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
